These Terms of Service (the "Terms") govern your access to and use of the NETTEN platform, website, and related services (together, the "Services"), operated by NETTEN LLC, a limited liability company organized under the laws of the State of Wyoming, United States ("NETTEN," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms.

1. Who we are & what NETTEN is
NETTEN provides software and technology that lets businesses, sole traders, and individuals acting in a professional or commercial capacity (each a "Merchant") accept payment from their customers ("Customers") and receive settlement in RLUSD, a USD-denominated stablecoin, on the XRP Ledger. NETTEN is a technology platform. NETTEN is not a bank, money services business, money transmitter, custodian, exchange, broker, or investment adviser, and does not provide banking, custody, or fiat payment services itself.
2. Eligibility
- You must be at least 18 years old and able to form a binding contract.
- You use the Services in a business, trade, craft, or professional capacity, and not as a consumer. If you are an individual — for example a freelancer or sole trader — you use the Services in connection with your professional activity.
- If you use the Services on behalf of a business or other legal entity, you represent that you are authorized to bind it, and "you" refers to that entity.
- You may not use the Services if you are located in, ordinarily resident in, or organized under the laws of any jurisdiction subject to comprehensive sanctions, or if you are a person with whom dealings are restricted under applicable sanctions programs (see Section 7).
- The Services are not offered to persons located in, or ordinarily resident in, the United Kingdom, and we do not market the Services to UK-based users.
3. The Services (non-custodial)
The Services allow Merchants to create payment links and invoices, accept digital-asset payments, and receive settlement in RLUSD directly to a blockchain wallet that the Merchant controls.
NETTEN is non-custodial and acts solely as a software provider. We write, publish, and maintain software; we do not take possession, custody, or control of your funds — fiat or digital assets — at any time, and we never have access to your wallet private keys or seed phrases. Settlement occurs on the XRP Ledger to a wallet you control. You are solely responsible for the security of your wallet, private keys, seed phrases, and credentials; loss of keys cannot be reversed or remedied by NETTEN.
Transaction finality & refunds
Transactions confirmed on the XRP Ledger are irreversible. NETTEN cannot reverse, cancel, or recover a completed on-chain transaction, and cannot recover assets sent to an incorrect address or in an incorrect amount. There is no chargeback mechanism on-chain. If a Merchant chooses to issue a refund to a Customer, the Merchant does so as a separate outbound payment from the Merchant's own wallet; refund policies are between the Merchant and its Customers. Where a transaction is cancelled, rejected, or refunded by a Provider before conversion completes, the Provider's own refund and cancellation policy governs that transaction, including timing and the method by which funds are returned.
Exchange rates
Where a payment involves conversion between a fiat-denominated amount and a digital asset, exchange rates are sourced from the applicable Provider or third-party market sources and are held for a limited payment window disclosed at checkout. NETTEN does not guarantee any exchange rate, and the rate applicable to a transaction is the rate displayed at the time you initiate it.
4. Third-party providers & on/off-ramps
Certain features rely on independent, regulated third-party providers. In particular, fiat-to-crypto ("on-ramp") and crypto-to-fiat ("off-ramp") conversion is provided by licensed third parties, which may include Transak, Guardarian, and, for digital-asset conversion and routing, ChangeNOW and Squid Router (each a "Provider"). Each Provider's terms and privacy policy are linked here and govern your relationship with that Provider: Transak (Terms · Privacy), Guardarian (Terms · Privacy), ChangeNOW (Terms · Privacy), Squid Router (Terms · Privacy).
- When you use an on/off-ramp, you contract directly with the applicable Provider and are subject to that Provider's own terms, privacy policy, KYC/AML checks, fees, and limits.
- The Provider — not NETTEN — collects and processes any fiat payment, performs identity verification, and executes the fiat↔crypto conversion. NETTEN does not receive, hold, or disburse the fiat leg of any transaction.
- NETTEN is not responsible for the acts, omissions, availability, or decisions (including verification or rejection decisions) of any Provider.
Off-ramp (fiat withdrawal) specifics
- Identity verification is required. Before completing an off-ramp transaction you must pass the applicable Provider's KYC/AML verification, which may include your legal name, date of birth, address, government-issued ID, and other information required by law. This information is collected by the Provider, not by NETTEN.
- Fees and rates are disclosed before you confirm. The Provider's conversion fee and rate, and any applicable NETTEN platform fee, are shown in-flow before you authorize the transaction; the applicable fee is the fee displayed at that time.
- Settlement timing is not guaranteed. Bank payout timing depends on the Provider and the receiving bank, and typically ranges from same-day to several business days.
- Minimums and limits set by the Provider may apply, and transactions may be delayed, held, or declined by the Provider to satisfy its compliance obligations.
- The on-chain leg is irreversible once you sign it from your wallet; verify all details before signing.
Availability varies by Provider and jurisdiction.
Each Provider independently determines the countries and currencies it supports, and maintains its own list of restricted or unsupported jurisdictions, which it may change at any time. A payment method or on/off-ramp available in one country may be unavailable in another, and a Provider may decline a transaction on that basis. Availability of a Provider through NETTEN is not a representation that the Provider is available to you. Please review the applicable Provider's own terms for its current country and currency coverage.
Service dependencies
The Services depend on infrastructure and services operated by others — including the XRP Ledger, RLUSD's issuer, the Providers named above, wallet applications used for signing (such as Xaman and Crossmark), and our hosting, database, email, and analytics vendors. Downtime, changes, or discontinuation of any of these may affect the Services, and NETTEN is not responsible for third-party interruptions.
5. Accounts & merchant obligations
- You must provide accurate, current information and keep it up to date.
- You are responsible for all activity under your account and for maintaining the confidentiality of your access credentials.
- You will use the Services only for lawful business purposes and will comply with all laws applicable to your business or professional activity, including tax, consumer-protection, and licensing obligations.
- You are responsible for your relationship with your own Customers, including the goods or services you provide, your refund practices, and any disputes.
6. Fees
NETTEN charges platform fees for use of the Services, disclosed to you before you incur them and in your account. Providers may charge separate fees for on/off-ramp and conversion services, disclosed by the Provider at the time of the transaction. Network (blockchain) fees may also apply. You are responsible for all applicable taxes on your transactions. NETTEN does not pay interest or yield on any balance and does not offer any deposit, savings, lending, or investment product.
7. AML, sanctions & acceptable use
NETTEN is committed to complying with applicable anti-money-laundering ("AML"), counter-terrorist-financing, and economic-sanctions laws, and to working only with Providers that maintain their own compliance programs. You represent, warrant, and agree that:
- You are not located in, resident in, or organized under the laws of any comprehensively sanctioned jurisdiction — currently including Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, Luhansk, Kherson, and Zaporizhzhia regions — and you are not a person subject to applicable sanctions (including any U.S. OFAC-listed person).
- You will not use the Services for, or in connection with, any illegal activity, fraud, money laundering, terrorist financing, sanctions evasion, or any activity prohibited by a Provider.
- You will not use the Services in connection with prohibited or high-risk activities, including: unlawful gambling; the sale of illegal goods or controlled substances; child sexual abuse material; stolen goods; weapons or materials prohibited by law; securities or activities requiring a license you do not hold; Ponzi, pyramid, or other deceptive schemes; or any use that would cause NETTEN or a Provider to violate law.
We may screen transactions and accounts, request information, and report to authorities where required. We may refuse, suspend, or terminate access to comply with law or a Provider's requirements.
8. Digital-asset risks
Digital assets and stablecoins involve significant risk. You acknowledge that: prices and redemption values can fluctuate; a stablecoin may fail to maintain its peg; blockchain transactions are irreversible and may fail or be delayed; smart contracts and networks may contain vulnerabilities; and regulatory treatment of digital assets is evolving and may change. You use the Services and transact in digital assets at your own risk.
9. No advice; no fiduciary duty
Nothing in the Services constitutes financial, investment, legal, tax, or accounting advice, and no fiduciary or advisory relationship is created. You are solely responsible for your decisions and should consult your own professional advisers.
10. Intellectual property
NETTEN and its licensors own all rights in the Services, including software, designs, trademarks, and content. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services in accordance with these Terms. You may not copy, modify, reverse-engineer, resell, or create derivative works from the Services except as permitted by law.
11. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. NETTEN DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY THIRD-PARTY PROVIDER WILL BE AVAILABLE.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NETTEN AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR DIGITAL ASSETS, ARISING OUT OF OR RELATED TO THE SERVICES. NETTEN'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE PLATFORM FEES YOU PAID TO NETTEN IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD 100. NETTEN IS NOT LIABLE FOR THE ACTS OR OMISSIONS OF ANY THIRD-PARTY PROVIDER.
13. Indemnification
You will indemnify and hold harmless NETTEN and its officers, members, employees, and agents from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Services, your breach of these Terms, your violation of law, or your relationship with your Customers.
14. Suspension & termination
We may suspend or terminate your access to the Services at any time, with or without notice, if we reasonably believe you have violated these Terms or applicable law, if required by a Provider or by law, or to protect the Services or other users. You may stop using the Services at any time. Sections that by their nature should survive termination (including Sections 6, 7, and 11–15) will survive.
15. Governing law & dispute resolution
These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered under the rules of the American Arbitration Association, seated in Sheridan County, Wyoming, except that either party may seek injunctive relief in court for intellectual-property or unauthorized-use matters. To the extent permitted by law, disputes will be resolved on an individual basis, and class actions are waived. Nothing in these Terms limits or excludes any right you may have under mandatory consumer-protection law that cannot be waived by agreement.
16. Changes to these Terms
We may update these Terms from time to time. We will update the "Last updated" date when we do, and for material changes we will provide at least 14 days' notice (for example, by email or a dashboard notice) before they take effect. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
17. Availability, support & contact
We aim for high availability but do not guarantee uninterrupted service; the Services depend on the XRP Ledger, Providers, and other third-party infrastructure outside our control. Support is available at [email protected], with a target response within two business days.
Complaints. If you are dissatisfied with the Services, contact [email protected] with the details. We aim to acknowledge complaints within two business days and to resolve them within thirty days. Where your complaint concerns a transaction handled by a Provider — including identity verification, fiat payment, conversion rates, or payout timing — you should also raise it directly with that Provider under its own complaints procedure, as NETTEN does not process the fiat leg and cannot resolve it on the Provider's behalf. We will assist by providing the transaction references we hold.
